Employee Center Sale, Buyer, Successor, and Change-of-Control Policy

No Raw Database Data Claim

For clarity, this document does not claim that Quintin N. Mahan owns raw facts, raw database rows, independent outside source records, CRS-owned operational records, customer-owned records, third-party-owned records, or customer relationships merely because such information is entered into, stored in, processed by, displayed through, backed up with, or exported from EC.

This document protects EC Protected Materials: the application, software, source code, schemas, database design, data model, relationships, indexes, workflows, dashboards, reports, queries, automations, integrations, APIs, access controls, credentials, hardware, infrastructure, legal records, certificate records, hashes, metadata systems, audit systems, methods, processes, techniques, trade secrets, documentation, and EC-created structural organization.

1. Purpose

This policy states that a sale, merger, acquisition, asset sale, ownership change, or control change involving CRS does not transfer EC.

2. EC Not Included in CRS Sale

EC is not a CRS asset unless Quintin N. Mahan signs a separate written agreement expressly transferring EC.

A buyer or successor does not receive EC by buying CRS stock, CRS assets, CRS customer lists, CRS goodwill, CRS equipment, CRS contracts, or CRS operations.

3. New License Required

Any buyer, successor, assignee, receiver, trustee, creditor, or new owner requires a new written license signed by Quintin N. Mahan before accessing EC.

4. No Due Diligence Copy

No buyer or potential buyer is entitled to EC source code, database copies, backups, exports, schemas, credentials, infrastructure, legal records, certificates, or the EC Protected Materials without authorization from Quintin N. Mahan.

5. No Transition Seizure

Transition needs do not authorize copying, seizure, lockout, forced migration, credential turnover, or database surrender.

6. Preservation

EC may preserve records, backups, certificates, logs, and evidence before, during, and after any CRS sale or change of control.

Changes to This Policy
